Terms and Conditions

These Terms govern website use, purchases, quotations, invoices, projects, subscriptions, support work and other Zolaymi LLC services.

1. Company identity, acceptance and eligibility

Zolaymi LLC is a Wyoming limited liability company. Zolaymi provides remote consulting, implementation, technical support and managed services for WordPress and WooCommerce businesses. If a public entity identifier is displayed or required, it should be the exact Filing ID shown in the Wyoming Secretary of State company record. Zolaymi does not publish its EIN.

By using the Website, creating an account, placing an Order, approving a quotation, paying an invoice, or using the Services, you agree to these Terms. If you act for a company or organization, you confirm that you are authorized to bind that company or organization.

You must be at least 18 years old to purchase Services. Zolaymi serves both Business customers and Consumers. Some provisions apply differently to Consumers because mandatory rights cannot be waived.

2. Definitions

  • Zolaymi, we, us, our: Zolaymi LLC.
  • Website: https://www.zolaymi.com and pages controlled by Zolaymi.
  • Customer, client, you, your: any person or organization using the Website or buying Services.
  • Consumer: an individual acting mainly for personal, household or non-business purposes.
  • Business customer: a company, organization, trader, agency or individual acting mainly for business purposes.
  • Services: audits, troubleshooting, implementation, managed services, support, consulting, development, configuration, technical analysis and related ecommerce technical services.
  • Deliverables: reports, configurations, templates, implemented settings, code, documentation, handover notes or other outputs stated in the Order or quotation.
  • Project: the agreed package, support task, fixed-scope service, quotation, hourly work or recurring service.
  • Order: a website checkout purchase, accepted quotation, signed statement of work, paid invoice or other accepted purchase record.
  • Subscription: a recurring Zolaymi service billed periodically.
  • Third-party service: software, hosting, plugin, API, payment processor, analytics, advertising, email, support, messaging or other platform not controlled by Zolaymi.
  • Client system: a website, WooCommerce store, hosting account, database, analytics account, ad account, email system, payment account, support tool or other system controlled by the Customer or its provider.
  • Client content: text, images, logos, data, products, policies, customer information, instructions and materials supplied by the Customer.
  • Personal data: information relating to an identified or identifiable person.
  • Processing: any operation performed on personal data.
  • Applicable law: laws, regulations and mandatory rights that apply to the relevant person, transaction, service, location or dispute.

3. Services, quotations, orders and accounts

Zolaymi Services may include technical audits and analysis, WordPress troubleshooting, WooCommerce troubleshooting, checkout optimization, payment-gateway configuration, transactional email design, SMTP and deliverability configuration, abandoned-cart recovery, promotional popups, review collection, support-ticket systems, live chat, WhatsApp integration, GA4, GTM, Google Ads conversion tracking, Meta Pixel and CAPI, performance work, migrations, backups, maintenance, security configuration, plugin and theme configuration, workflow automation, APIs, webhooks, customer portals, dynamic coupons and related ecommerce technical services.

A contract is formed when Zolaymi accepts an Order, confirms a quotation, receives required payment or deposit and agrees to begin the applicable scope. Website listings are invitations to order and may be corrected if they contain an obvious error.

Customer accounts are optional unless a specific service, subscription, checkout flow or secure onboarding process technically requires an account. You are responsible for keeping account credentials secure and for activity under your account.

4. Pricing, taxes, payment, deposits and milestones

Prices may be shown in USD, EUR or GBP and may exclude applicable taxes unless expressly stated. Zolaymi may use Stripe Tax to collect customer location and valid business VAT numbers, apply B2B reverse charge where valid, and assess EU non-Union OSS, UK VAT and U.S. state sales-tax registration obligations. Customers are responsible for accurate billing details and any currency conversion, bank or payment-provider fees charged by third parties. Zolaymi should obtain advice from a Spain-U.S. cross-border tax adviser for final tax treatment.

Full payment is normally required before work begins. Zolaymi may approve a 50 percent deposit arrangement for selected custom projects. Remaining balances, milestones and due dates must be stated in the quotation or invoice. Zolaymi is not required to begin or continue work while payment is overdue.

Stripe and PayPal process payment information under their own terms and privacy policies. Zolaymi does not normally receive or store full payment-card numbers.

Known third-party charges should be disclosed before they are incurred where reasonably possible. One-time licence, setup, registration, domain, hosting, messaging, platform, API or usage costs may be non-refundable once incurred.

5. Scope, change requests and customer responsibilities

Services are limited to the written product description, Order, quotation, statement of work or invoice. Requests outside the agreed scope require a change order or additional quotation. Small incidental adjustments may be included at Zolaymi's discretion, but new features, new integrations, additional templates, additional languages, additional websites or redesign requests are not automatically revisions. A deadline may change when the scope changes.

You are responsible for providing accurate requirements, lawful Client content, timely access, required approvals, maintained licences, accurate billing information, and instructions that are lawful. Unless backup services are purchased, you are responsible for maintaining current backups before changes are made. You must review work, test business-critical workflows, protect credentials, avoid uncoordinated system changes during implementation, and obtain legal consent for marketing, cookies, emails, tracking and customer communications.

6. Access to client systems, security and backups

Access should be provided through temporary, named, role-limited accounts where practical. Do not send master passwords or secrets through ordinary email or public forms when safer methods are available. You are responsible for revoking temporary access after completion unless ongoing managed-service access is agreed.

Zolaymi may recommend backups or staging before work. Unless backup or restoration is expressly included, Zolaymi is not responsible for missing, outdated or defective backups not managed by Zolaymi. Work on live systems carries risk, especially where hosting, plugins, themes, custom code or third-party services are unstable.

7. Delivery, client delays, testing, acceptance, revisions and support

Delivery time begins only after all commencement conditions have occurred: required payment or deposit has cleared, the Customer has accepted the scope or quotation, required access has been provided, and required content, instructions, approvals and technical information have been received.

Delivery deadlines pause while Zolaymi is waiting for access, information, files, content, credentials, approvals or responses from the Customer. Zolaymi is not responsible for delays caused by the Customer or third parties. If the Customer remains inactive for 14 days, Zolaymi may place the Project on hold. If inactivity continues for 30 days, Zolaymi may close or reschedule the Project. Restarting an inactive Project may be subject to availability and a reasonable reactivation fee disclosed in advance. Amounts already earned for work performed remain payable.

A service is considered delivered when the agreed implementation or Deliverable has been provided, Zolaymi has completed the agreed tests, and the Customer has been informed that the service is ready for review. The Customer has five business days to report a material failure to meet the agreed scope. If no material issue is reported during that period, the service may be treated as accepted, without removing rights relating to hidden defects, mandatory consumer guarantees or issues that could not reasonably have been discovered during review.

Up to three reasonable revision rounds are included unless another number is stated. Revisions must relate to the original approved scope and should be consolidated within the five-business-day review period. Unused revisions have no cash value. Revisions do not include complete redesigns, new functionality, new integrations or work caused by Customer changes after delivery. Additional revisions may be quoted separately.

Zolaymi includes a 365-day limited implementation warranty for defects directly caused by Zolaymi's original implementation of the agreed scope. The warranty does not include new features, Customer modifications, third-party updates or outages, unrelated faults, training beyond the included handover, ongoing maintenance, platform policy changes, or business-result guarantees. Extra support, new work, out-of-scope troubleshooting and unrelated issues are paid separately unless an active managed-service subscription or written quotation says otherwise.

8. Third-party services, software licences and intellectual property

Zolaymi does not control WordPress, WooCommerce, payment processors, hosting providers, APIs, advertising platforms, email providers, marketplaces, plugins or other third-party services. Outages, policy changes, suspensions, API changes, pricing changes and compatibility changes may affect the Services. Zolaymi cannot guarantee approval by banks, payment processors, ad platforms, email providers or software vendors. Additional work caused by future third-party changes may be chargeable. Customers are responsible for reading and accepting third-party terms.

Zolaymi retains ownership of pre-existing tools, processes, libraries, frameworks, templates, know-how and reusable components. The Customer retains ownership of its pre-existing content, trademarks, data and materials. After full payment, the Customer receives the ownership or licence stated in the Order or quotation for custom Deliverables. Third-party software remains subject to third-party licences. Open-source software remains subject to its applicable licence. No transfer occurs for unpaid work.

Zolaymi may retain reusable general knowledge that does not disclose confidential information. Portfolio use requires the client's permission or must be limited to publicly available work and removed upon reasonable confidential request.

9. Confidentiality and data protection

Each party may receive non-public business, technical, security, customer or project information. Confidential information must be used only for the agreed purpose and protected with reasonable care. Confidentiality does not apply to information that is public through no fault of the receiving party, independently developed, lawfully received from a third party, or required to be disclosed by law.

The Privacy Policy explains Zolaymi's controller activities. The Data Processing Agreement applies where Zolaymi processes personal data as a processor or service provider for a business client.

10. Cancellation, refunds, recurring services and chargebacks

Qualifying EU/EEA and UK Consumers may have a 14-day right to cancel certain distance service contracts. If a Consumer expressly requests immediate performance and later cancels after work has begun, the Consumer may be charged proportionately for work already performed. Once a service has been fully performed, the withdrawal right may end where the Consumer expressly requested immediate performance and acknowledged that full performance would remove that right. Mandatory national rights remain unaffected.

Business-customer cancellation before work begins may be approved. Reasonable administrative, planning, reserved-capacity, third-party or non-refundable costs may be deducted. Cancellation after work begins requires payment for work completed, time reserved where contractually agreed, third-party costs and committed expenses. Any remaining refundable balance should be calculated transparently.

Completed and accepted technical services are generally non-refundable. This does not remove statutory consumer rights. Refunds or corrective work may be available where Zolaymi materially failed to deliver the agreed service. Zolaymi may first be given a reasonable opportunity to investigate and correct the problem.

Recurring Zolaymi services have no minimum commitment unless stated otherwise. Customers may cancel by emailing [email protected]. Cancellation requests should be received at least seven calendar days before the next renewal. Cancellation received after that deadline may take effect at the following renewal where legally permitted. Cancellation stops future renewals, and past service periods are not automatically refunded. Zolaymi must confirm cancellation in writing.

Customers should contact [email protected] before initiating a chargeback where reasonably possible. Zolaymi may provide payment processors with contracts, communications, access logs, delivery records, testing evidence, reports and other relevant documentation. Filing a chargeback does not automatically cancel contractual obligations. Fraudulent, knowingly false or abusive chargebacks may result in service suspension or termination. Zolaymi may recover reasonable costs caused by an abusive chargeback where legally permitted. Nothing prevents a Consumer from exercising legitimate statutory, card-network, bank or payment-provider rights.

11. Suspension and termination

Zolaymi may suspend or terminate Services where payment is overdue, required access is not provided, the Customer materially breaches these Terms, instructions appear unlawful or unsafe, the Customer misrepresented its business, continued work creates material legal, security, reputational or platform risk, or a third-party provider prohibits the activity.

Termination does not affect amounts already earned, accrued rights, confidentiality, payment obligations, intellectual property, data protection, liability limits, dispute provisions or any term intended to survive termination.

12. Warranties, disclaimers, liability and indemnity

Zolaymi will use reasonable skill and care in providing Services. Technical services can reduce friction, improve reliability and produce better data, but Zolaymi does not guarantee specific revenue, conversion, advertising, inbox-placement, ranking, uninterrupted operation, platform approval or compatibility outcomes.

For Business customers, to the maximum extent permitted by law, Zolaymi's total liability for claims arising from or relating to an affected service is capped at the total fees paid or payable for that affected service during the 12 months preceding the event giving rise to the claim. Where permitted by law, Zolaymi excludes indirect damages, consequential damages, lost profits, lost revenue, lost business opportunities, lost anticipated savings, reputational damage, loss caused by third-party services, loss caused by client changes after delivery, loss caused by failure to follow instructions, and loss caused by missing or defective backups not managed by Zolaymi.

Nothing in these Terms excludes or limits liability where unlawful, including fraud, fraudulent misrepresentation, wilful misconduct, gross negligence where it cannot legally be limited, death or personal injury caused by negligence where applicable, violations that cannot legally be excluded, or mandatory consumer remedies. Consumer liability limitations apply only to the maximum extent permitted by applicable law.

Business customers agree to indemnify Zolaymi against third-party claims, losses and reasonable costs arising from unlawful Client content, unlawful instructions, intellectual-property infringement by Client content, Customer misuse of Services, violation of the Acceptable Use Policy, or the Customer's failure to obtain required consents, licences or approvals.

13. Complaints, governing law and disputes

Please contact [email protected] first so the issue can be investigated. Legal notices must be sent to [email protected] and any required physical notice address listed in the final policy.

Before filing a claim, each party must attempt informal dispute resolution for 30 days, unless urgent injunctive relief, payment-provider procedures, consumer rights, regulator complaints or legal deadlines require earlier action.

For Business customers, Wyoming law governs these Terms and the Wyoming state or federal courts are the default venue for business disputes. Consumers retain mandatory rights and may be entitled to use courts, regulators or dispute procedures in their home jurisdiction. These Terms do not include mandatory arbitration or a class-action waiver unless later approved by a qualified attorney.

14. General terms and contact

Zolaymi may update these Terms from time to time. The version in effect when you place an Order normally governs that Order unless a later version is accepted or required by law. If any provision is unenforceable, the remaining provisions continue. A failure to enforce a provision is not a waiver. You may not assign your contract without Zolaymi's consent, except where mandatory law provides otherwise. Zolaymi may assign or transfer its rights and obligations in connection with a reorganization, sale or lawful business transfer. The Order, quotation, these Terms and linked policies form the entire agreement for the applicable Services unless a signed written agreement says otherwise.

Zolaymi LLC can be contacted using the details below. Do not send passwords, API keys, payment-card information, full customer exports, or other sensitive information through ordinary email unless a secure transfer method has been agreed.
